These Terms and Conditions (hereinafter referred to as "Conditions" or "T&C") apply to the use of the GIC platform or GIC Site (www.globalinvestacapital.com) (hereinafter individually referred to as "Services" and collectively referred to as "Services") owned and/or operated by Global Investa Capital Pte Ltd, a legal entity established according to the laws of Singapore, registered with registration number 201806666Z, and having a valid representative office in Indonesia based on [details]. (Hereinafter referred to as "Company" or "GIC").
By accessing the Services, you understand, acknowledge, and agree to be bound by these T&Cs, including any future amendments based on Company policy, accessible from the GIC Platform and the GIC Site. GIC may change these T&Cs at any time without prior notice to you. It is your responsibility to periodically review these T&Cs for any changes. Your continued use of the Service indicates your agreement to any changes in the T&C. Additional terms may apply for specific Services based on Company policy. In the event of a conflict or discrepancy between these T&Cs and other additional terms for certain Services, the additional terms will prevail.
Before accessing the GIC Platform and/or this GIC Site further, it is mandatory to read and understand these T&Cs. These T&Cs govern the access to content, services, and other features provided in the GIC Platform and the GIC Site. By accessing or using the GIC Platform and/or the GIC Site, you signify that you have understood, agreed to, and are bound by all the T&Cs, including any future amendments and additional provisions.
In these T&Cs, unless otherwise specified in the context of the clauses, the following words or terms have the designated meanings:
The GIC platform is a trademark of GICTrade, a peer-to-peer trading platform based on blockchain technology that enables users to participate as active traders, passive market makers, or both simultaneously. We exclusively offer the official GIC Platform software through authorized digital marketplaces like Google Play Store and Apple App Store, specifically for use on hardware devices. Downloading the GIC Platform application from unauthorized sources or onto devices not intended for such use constitutes a violation of these Terms andour intellectual property rights.
The GIC Platform currently offers several service features, including:
GIC will continually develop the GIC Platform, including the addition or reduction of service features, displays, and other developments, based on the Company's policy. Each service feature on the GIC Platform has additional provisions beyond those regulated in these T&Cs, determined by its function and purpose.
The use of products, services, and features provided on the GIC Platform is carried out using GICT coins officially issued by GIC. GICT coins can be obtained and traded on crypto exchanges, including but not limited to Index Legion-Swap, Pancakeswap, and other parties officially cooperating with GIC. GIC is not responsible for the price of the GICT Coin traded on third-party platforms. The GICT Coin price is determined by the market’s supply and demand mechanism.
GIC does not directly or actively offer products or services in the United States of America and the People's Republic of China. This includes cooperation with third parties conducted by GIC in these two countries mentioned.
We provide information about Services provided by both Us and Third Parties. This service enables you to view, study, read, and compare the information provided.
The information displayed on the GIC Site is intended for general informational purposes and is presented based on circumstances and reality. While we strive to provide and display the latest and most accurate information, we cannot guarantee that all information is timely or relevant to your specific needs. Any information and data provided on the GIC Site should not be assumed or relied upon as financial or investment advice, or as recommendations for the displayed products and services. The information on this GIC Site is provided to assist you in making informed decisions regarding the selection of services according to your needs. You are solely responsible for your decision to choose each Service.
The information we provide is not coercive or binding, and it does not require you to follow the information provided. We cannot be held liable for any losses you may incur as a result of your decision-making based on the information provided on the GIC Site, regardless of the circumstances or situations involved.
The collection, storage, processing, use, and sharing of your personal information, such as your name, email address, mobile number, or other data provided by you when using the Services on the GIC Platform and/or the GIC Site, are subject to the GIC Privacy Policy, which is an integral part of these Terms. We are not responsible for any exchange of personal data that you make with third parties or other parties on or through any hardware and/or software outside the GIC Platform and/or the GIC Site.
Your access to the GIC Platform and/or the GIC Site is dependent on your hardware. It is your responsibility to verify and ensure that you download the correct GIC Platform software (including but not limited to the updated version) suitable for your hardware device. We are not accountable if your hardware is incompatible or if you do not have the latest version of the GIC Platform software (including but not limited to the updated version) for your hardware. You are entirely responsible for the procurement and usage of the hardware, including but not limited to purchasing the hardware itself.
You are responsible for ensuring access to the internet, having a data package, and covering any fees charged by your telecommunications service provider for communication, such as telephone costs, SMS, and internet usage. You acknowledge and declare that using the GIC
Platform and/or the GIC Site may result in substantial data consumption, and you are responsible for such usage and the associated costs.
In the event that your hardware is lost, damaged, or no longer under your ownership, which could potentially expose or disclose information you have on the Services provided by the GIC Platform and/or the GIC Site to others, you assume any risks or losses that may arise from it.
We, Third Parties, or other parties collaborating with us may provide Third Party Content that can be found on the GIC Platform and/or the GIC Site. In the case of Third Party Content provided by other parties working with us, we are not responsible for any aspect of the content. Your access to and use of Third Party Content is entirely your responsibility, and it implies your consent to abide by the Terms established by us or the Third Party Content providers, including the GIC Privacy Policy or the providers' respective policies.
Third Party Content refers to factual information, data, or news that is created, compiled, developed, and/or managed by Third Party Content providers or acquired by them from other third parties. Third Party Content providers are responsible for obtaining any necessary permissions to display the intended content, including but not limited to text, writing, images, quotes or quotations, photos, illustrations, animations, videos, sound recordings, music, titles, descriptions, and any associated links on the GIC Platform and/or the GIC Site.
We, or other parties working with us, may offer promotions or special deals (referred to as"Offers") that you can avail of in our Services. If an Offer is provided by another party incollaboration with us, we are not responsible for any aspect of the Offer's content. Your accessto or use of the Offer indicates your consent to comply with the terms and conditions set by usor the Offer provider, including the GIC Privacy Policy or the Offer provider's policies.
All Offer information provided on the GIC Platform and/or the GIC Site is intended to enhance your experience when using our Services. You are prohibited from abusing the Offers received while using the GIC Platform. By accepting an Offer, you agree to abide by its terms, conditions, and intended use, refraining from exploiting it for commercial purposes or taking unfair advantage of the Offer in any form or manner.
You understand that Offers are non-exchangeable for cash, have limited validity periods, and are subject to specific conditions applicable to each Offer.
All intellectual property rights in the GIC Platform and/or the GIC Site belong to us. Any information, materials, and content, including but not limited to text, software, trademarks, technology, business processes and models, data, graphics, images, audio, video, logos, icons, HTML codes, and other codes on the GIC Platform and/or this GIC Site that are protected by copyrights, trademarks, patents, and/or other intellectual property rights under applicable law, whether registered on behalf of us, our affiliates, or our licensors, are strictly prohibited from being modified, copied, duplicated, or altered in any way without our written permission. Violations of the aforementioned rights may be subject to legal action in accordance with applicable laws.
We and our licensors exclusively own all rights and interests in the GIC Platform and/or the GIC Site, including all intellectual property rights associated with the features contained therein.
Subject to these T&C (Terms & Conditions), we grant you a non-exclusive, revocable, non- assignable limited license (without sublicense rights) for the following purposes: (i) downloading, installing, accessing, and using the GIC Platform as necessary, solely on your hardware, and solely for purposes related to using the GIC Platform; and (ii) accessing or using the Content, information, and related materials available on the GIC Platform and/or the GIC Site solely for the interests and needs specified in these T&C. All other rights and privileges not expressly provided in these T&C belong to us or our licensors.
You are solely responsible for all decisions you make when using or accessing the GIC Platform and/or the GIC Site, including all service features, Third Party Services, Third Party Content, Offers, and other related matters.
You bear full responsibility for any losses and/or claims arising from the use of the GIC Platform and/or GIC Site, including but not limited to Third Party Services, Offers, and Third Party Content found on the GIC Platform and/or GIC Site. This responsibility applies to both your actions and those of other parties who use your GIC Platform account, in a manner contrary to these Terms, including terms and conditions and privacy policies established by Third Party Service providers, Third Party Content providers, Offer providers, or applicable laws and regulations. This includes, but is not limited to, matters related to anti-money laundering, anti-terrorism funding, criminal activities, fraud in any form (including phishing and social engineering activities), infringement of intellectual property rights, and other harmful activities that may harm the public or any other party or be deemed damaging to our reputation.
We provide the GIC Platform and/or GIC Site to the best of our ability, but we do not make any representations or guarantees regarding the reliability, timeliness, quality, suitability, availability, accuracy, completeness, or security of the GIC Platform and/or GIC Site. It is not guaranteed to meet all requirements or expectations. Third Party Services, Third Party Content, and Offer Providers, including their reliability and performance, are solely the responsibility of the respective Third Party Service Providers, Third Party Content Providers, and Offer Providers. We are not liable for any losses or damages resulting from failures or mistakes made by Third Party Service Providers, Third Party Content Providers, or Offer Providers, nor for any failures or mistakes on your part in complying with our Terms, or the terms and conditions set by Third Party Service Providers, Third Party Content Providers, or Offer Providers.
The GIC Platform and/or the GIC Site may encounter limitations, delays, and other issues inherent in the use of the internet and electronic communications. These issues can arise if your hardware is damaged, not connected to the internet, out of range, turned off, or malfunctioning. We are not responsible for any delays, delivery failures, damage, or loss resulting from these problems.
While we are not obligated to monitor your access or use of the GIC Platform and/or the GIC Site, we may still conduct supervision to ensure the smooth functioning of the GIC Platform and/or the GIC Site, as well as to verify your compliance with these Terms, applicable laws and regulations, court decisions, and provisions of administrative or governmental agencies or institutions.
We do not have any obligation, including taking further action or legal action as deemed necessary by you, Third Party Service Providers, Third Party Content Providers, or Offer Providers, for any problems or disputes that arise between you and them. However, we will make reasonable efforts to facilitate the resolution of any problems or disputes that arise between you and Third Party Service Providers, Third Party Content Providers, and Offer Providers. It is important to note that our facilitation of such resolution does not imply that we act as a mediator or assume any additional obligations.
You understand that the use of the GIC Platform and/or the GIC Site may establish a direct relationship between you and other third parties, including recipients or consumers, where we are not a party to that relationship. We are not responsible for any actions, whether due to your negligence or intentional actions, regarding your promises and obligations to other third parties, or the promises and obligations of other third parties to you. By using the GIC Platform and/or the GIC Site, you hereby agree to release and hold us harmless from any complaints, claims, civil and criminal charges, and/or compensation arising from the use of the GIC Platform and/or the GIC Site, unless such claims result from our actual errors or negligence.
Our GIC Platform and/or GIC Site may provide links to third-party websites, including links available on certain product/service search result pages. You acknowledge, understand, and agree that we are not responsible for the content and/or other materials contained in these third-party links. You assume the risks associated with accessing and using these third-party links, and it is advised that you read and understand the terms and conditions that apply to those links.
GIC does not directly or actively offer products and/or services in the United States of America and the People's Republic of China, including any cooperation with third parties in these countries. We are not responsible for the use of GIC services and/or products that you obtain from these two countries.
You represent and warrant that:
If you do not meet the above conditions but still access or use the GIC Platform and/or GIC Site, including Third Party Services, Third Party Content, and Offers, you represent and warrant that your actions on the GIC Platform and/or GIC Site have been approved by your parents, guardians, company organs, or any relevant party, as required or applicable. You expressly waive any rights under the law to cancel or revoke any agreements based on these Terms when you are deemed legally mature or competent.
You understand and agree to access or use the GIC Platform and/or GIC Site, including ThirdParty Services, Third Party Content, and Offers, only for the purposes specified in these Termsand not to abuse or fraudulently use the GIC Platform and/or GIC Site, including Third PartyServices, Third Party Content, and Offers, causing inconvenience to others, placing fakeorders, or engaging in other actions that may harm other people or us.
You understand and agree that all risks arising from the use of the GIC Platform and/or the GIC Site, including Third Party Services, Third Party Content, and Offers, are entirely your responsibility, and you hereby release us and/or our affiliates from any and all claims, whether civil or criminal, arising in connection with damage, interference, or other forms of system disruption caused by unauthorized access by third parties.
You expressly release us, including but not limited to our officers, directors, commissioners, employees, and agents, from any obligations, consequences, losses, both material and immaterial, demands, costs (including attorney fees), or any other legal liability arising from or related to your violation of these Terms or the actions of Third Party Service Providers, Third Party Content Providers, or Offer Providers.
Notwithstanding the above provisions, in the event of direct loss resulting from our violation of these Terms, you agree and expressly limit your claims to the total amount incurred or paid in connection with the relevant event.
YOU ACKNOWLEDGE THAT WE ARE A BLOCKCHAIN TECHNOLOGY-BASED PEER-TO-PEER TRADING COMPANY AND NOT A COMMITTEE FUTURES, INVESTMENT, MUTUAL FUND, BROKER, AGENT, FOREX, FINANCIAL, [***], AND OTHER COMPANY, AND WE DO NOT PROVIDE TRANSACTION SERVICES FOR COMMODITIES TRADING, INVESTMENT, [***], AND OTHER SERVICES. ALL COMMODITY TRADE TRANSACTION SERVICES GOLD, INVESTMENT [***], FINANCE, AND OTHER SERVICES ARE PROVIDED BY INDEPENDENT THIRD PARTIES THAT ARE NOT EMPLOYED BY THE US. BY CONTINUING TO ACCESS OR USE THE GIC PLATFORM AND/OR SERVICE, YOU AGREE TO ABIDE BY ALL THE PROVISIONS OF THE RELEVANT LAWS AND REGULATIONS AND THESE TERMS, INCLUDING ANY MODIFICATIONS, AS WELL AS
THE TERMS OF USE SET FORTH BY EACH THIRD-PARTY SERVICE PROVIDER, THIRD-PARTY CONTENT PROVIDER, AND OFFERING PROVIDER. IF YOU DO NOT AGREE TOANY PART OF THESE TERM, PLEASE DISCONTINUE ACCESING OR USING THE GIC PLATFORM AND/OR THE SERVICE IMMEDIATELY.
The GIC Platform and/or the GIC Site may experience interruptions due to circumstances, forces, or causes beyond our reasonable control, authority, or control, including but not limited to internet failures, computer equipment failures, telecommunications equipment failures, other equipment failures, power outages, strikes, labor disputes, riots, civil disturbances, shortages of labor or materials, fires, floods, hurricanes, explosions, acts of God, wars, government actions, court orders, government policies, and other similar events (hereinafter referred to as "Force Majeure"). If we are unable to facilitate third-party services or fulfill your instructions through the GIC Platform, either partially or wholly, as a result of Force Majeure, you agree to release us from any demands and responsibilities. Please note that in the event of Force Majeure, we will not be held responsible for any delays or failures in performance directly or indirectly related to the use of the GIC Platform and/or the GIC Site.
If any provision or part of these T&Cs is deemed invalid, illegal, or in violation of the laws and regulations in force in Indonesia based on a court decision that has permanent legal force, rendering such provision or part unenforceable, the invalidity or unenforceability of the specific provision will not affect the validity and enforceability of other provisions and the remaining parts of the T&Cs. We will revise the invalidated or unenforceable provision in accordance with the applicable laws and regulations.
These T&Cs are subject to and interpreted in accordance with the legal provisions in force in the Unitary State of the Republic of Indonesia.
You comply with all applicable provisions in the country where you live and access the Services on the GIC Platform and/or the GIC Site, and you are fully responsible for complying with the provisions of these laws. You acknowledge and agree that we cannot be held liable if applicable law restricts or prohibits you from accessing the services provided on the GIC Platform.
These T&Cs were created and compiled in dual languages, namely Indonesian and English. In the event of a difference in interpretation between the Indonesian version and the English version, the Indonesian version shall prevail and be binding.
In the event of a dispute arising in connection with the use of the GIC Platform and/or the GIC Site, including the Services provided therein, we and you agree to resolve the dispute through good-faith deliberation, without resorting to class actions. The provisions for dispute resolution through deliberation and consensus, as stated in the additional provisions, shall apply. If the dispute cannot be resolved through deliberation to reach a consensus as per the aforementioned additional provisions, you and I agree to resolve the dispute at the clerk's office of the Central Jakarta District Court. However, we reserve the right to take legal action against you in cases involving actual threats or violations of these T&Cs.
You understand and agree that these Terms constitute an agreement in electronic form. By pressing the 'register' button when opening a GIC Platform account or the 'login' button when accessing the GIC Platform and/or the GIC Site, you actively consent to be bound by these Terms and the GIC Privacy Policy. This agreement is valid, legally binding, and applies as long as you use the GIC Platform and/or the GIC Site.
You will not raise any objections to the validity of the GIC Terms or Privacy Policy being in electronic form.
You cannot transfer your rights based on these Terms without our prior written consent. However, we have the right to transfer our rights based on these Terms to other parties at any time without obtaining your prior approval or providing prior notification to you.
If you fail to comply with or violate any provision of these T&Cs, we may not take immediate action, but it does not mean that we waive our right to take necessary action at a later date.
These provisions remain in effect even after the temporary freeze, permanent freeze, deletion of the GIC Platform, or termination of the agreement between you and us.
If any provision of these Terms is found to be unenforceable, it will not affect the validity of the other provisions.
